The Sports Gambling Guides, Inc., and SGG Media (“SGG”) $100,000 Content Creator Challenge
Official Rules
NO PURCHASE NECESSARY TO PARTICIPATE OR WIN.
ELIGIBILITY: Challenge is open to individuals, who are legal residents of the fifty (50) United States and District of Columbia, 21 or older, and the direct and intended recipients of an invitation to participate in the Challenge (“Participants”). Employees of SGG Media a division of Sports Gambling Guides Inc. ("Sponsor"), and their respective parent, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Challenge is subject to all applicable federal, state and local laws. By participating, each Participant agrees to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Challenge.
CHALLENGE PERIOD: The Challenge begins at or around 6:00 AM Eastern Daylight Time (“EDT”) on 9-14-2022 and ends 6:00 PM EDT on 12-13-2022 (“Challenge Period”). Participant performance for Challenge will be evaluated using the criteria set forth below at three (3) separate points to determine winners, as follows: as of 10-13-2022 (“Winner Determination Period #1”), as of 11-13-2022 (“Winner Determination Period #2”) and following the conclusion of the entire Challenge Period (the “Entire Challenge Period Winner Determination”, collectively with Winner Determination Period #1 and Winner Determination Period #2, the “Winner Determination Periods”). Participant performance from Winner Determination Period #1, Winner Determination Period #2, and Entire Challenge Period will each be evaluated separately.
HOW TO PARTICIPATE: To participate, publicly share the Challenge content created and provided to you by Sponsor (“Challenge Content”) via your social channels in accordance with the guidelines provided below (“Challenge Content Guidelines”). Participants must share at least two (2) posts a week for four (4) consecutive weeks to be eligible. Sponsor may disqualify any Participant for any reason, including if Sponsor determines that Participant failed to conform to these Official Rules in any way or otherwise failed to follow the Challenge Content Guidelines, as determined by Sponsor, in its sole discretion.
Challenge Content Guidelines: Participant MUST abide by the Sponsor’s rules and regulations at all times. These rules and regulation include but are not limited to:
- All social media posts must be selected from the Challenge Content. Under no circumstances can Participant create their own content or change or edit or add to the Challenge Content.
- Solicitation of anyone under the age of 21 is not allowed under any circumstances. The act of doing so will immediately remove the Participant from the Challenge along with any other enforceable action per the laws / regulations of any agency involved with the contest / companies involved.
- No financial advice can be provided under any circumstances in any promotional campaigns run by the Participant.
- Participants must comply with all applicable platform rules, terms and regulations. Participants should not spam their followers or use a bot or other automated service to participate in the Challenge.
- Participants must comply with all requirements set forth in the “$100,000 Content Creator Challenge” with Sponsor, including, but not limited to, how to disclose their material connection to Sponsor.
PUBLICITY GRANT: Participation in the Challenge constitutes permission for Sponsor and its designees to use the Participant’s name, social handles, likenesses, voice, biographical information, prize information, quotes attributable to Participant, and any other elements of Participant’s persona for purposes of advertising and trade in any and all media now known or otherwise developed throughout the world in perpetuity without further notification, compensation or review, unless prohibited by law.
WINNER DETERMINATION: Potential winners for each Winner Determination Period will be determined based on the following criteria, as determined by Sponsor in its sole and absolute discretion:
- Impressions 10%
- Shares / Likes/ Comments 10%
- Re-Tweets by Followers 10%
- Web Site Traffic Generated 50%
- Number of Posts by Participant 20%
In the event of a tie for any prize, the prize will be split equally among the tied Participants. Decisions of Sponsor are final and binding.
WINNER NOTIFICATION: Potential winners will be notified by email and may be required to execute and return an Affidavit of Eligibility, Liability and, unless prohibited, Publicity Release. If a potential winner does not respond to the initial notification within the time period stated in the email notification, does not return all required documentation within the time period stated, or if a prize notification or prize is returned as undeliverable, or such potential winner is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor’s discretion, a runner-up will be notified for the Winner Determination Period at issue. Prizes will be fulfilled approximately 8-10 weeks after the conclusion each month of the Contest.
PRIZES:
Entire Challenge Period Winners: First Place: $5,000 and $5,000 in SGG Stock Options of the SGG StartEngine Crowd Funding Offering; Second Place: $2,500 and $2,500 in SGG Stock Options of the SGG StartEngine Crowd Funding Offering; and Third Place: $500 and $500 in SGG Stock Options of the SGG StartEngine Crowd Funding Offering.
Winner Determination Period #1 and Winner Determination Period #2: First Place (one (1) for each period): $2,500 and $2,500 in SGG Stock Options of the SGG StartEngine Crowd Funding Offering; Second Place (one (1) for each period): $1,125 and $1,125 in SGG Stock Options of the SGG StartEngine Crowd Funding Offering; and Third Place (ten (10) for each period): $500 and $500 in SGG Stock Options of the SGG StartEngine Crowd Funding Offering.
The SGG stock option grants will be at the most recent SGG corporate 409a valuation at time of award.
Winners may not substitute, assign or transfer a prize, but Sponsor reserves the right, at its sole discretion, to substitute a prize of comparable or greater value. Winners are responsible for all federal, state and local taxes associated with prize acceptance and use. Note: If, in any calendar year, a winner receives prizes that value $600 or higher, such winner must complete a W-9 and Sponsor will issue the winner a 1099 for the value of all prizes received for the applicable calendar year. All prize details are at Sponsor’s sole discretion.
GENERAL CONDITIONS: By participating, each Participant agrees to release, discharge and hold harmless Sponsor, The Sports Gambling Guides Inc., and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from Participant’s participation in the Challenge or any Challenge-related activity or the acceptance, possession, use or misuse of any awarded prize.
Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled posts, comments, impressions, shares, likes, messages, email, mail or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Challenge, including, without limitation, errors or difficulties which may occur in connection with the administration of the Challenge, the announcement of the prizes, or in any Challenge-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by platform users, tampering, hacking, or by any equipment or programming associated with or utilized in the Challenge. Released Parties are not responsible for injury or damage to any person's computer or other device related to or resulting from participating in the Challenge or downloading materials from or use of the platform. Persons who tamper with or abuse any aspect of the Challenge or platform, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified. Should any portion of the Challenge be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Submissions, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Challenge and, if terminated, at its discretion, proceed with the Challenge as otherwise deemed fair and appropriate by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
DISPUTES: Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants’ rights and obligations, or the rights and obligations of the SGG in connection with the Contest, shall be governed by, and construed in accordance with, the laws of California, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than California.

WINNER’S LIST: To receive the names of the winners (first name, last initial, and state of residence) for any Challenge, send an email to: info@sportsgamblingguides.com, by no later than thirty (30) days after the end of the Challenge.
